Welcome to GPT-image2 ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website https://gpt-image2.cn (the "Site") and our AI image generation and editing services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

1. Acceptance of Terms

By accessing or using our Services, you represent and warrant that: (a) you are at least 18 years of age or have the consent of a parent or legal guardian; (b) you have the legal capacity to enter into these Terms; (c) you will use the Services in accordance with these Terms and all applicable laws and regulations.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued access to or use of the Services after those revisions become effective constitutes agreement to be bound by the revised terms.

2. Intellectual Property Rights

2.1 Our Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of GPT-image2 and its licensors. The Services are protected by copyright, trademark, and other laws of both Hong Kong and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of GPT-image2.

2.2 User Generated Content

When you generate images or other content using our Services ("User Content"), you retain all ownership rights to the content you create, subject to the following terms:

  1. You grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content solely for the purpose of providing and improving the Services.
  2. You represent and warrant that you have all necessary rights to use any input materials (including reference images, text prompts, etc.) provided to the Services, and that such use does not violate any third-party rights or applicable laws.
  3. For paid subscribers, you may use images generated through the Services for commercial purposes, subject to these Terms and any applicable OpenAI content policies.

3. User Conduct & Restrictions

You agree not to use the Services for any purpose that is illegal or prohibited by these Terms. You specifically agree not to:

  1. Use the Services to generate content that infringes on any third-party intellectual property rights, including copyright, trademark, or privacy rights.
  2. Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  3. Attempt to reverse engineer, decompile, disassemble, or discover the source code of the Services or any underlying technology.
  4. Use the Services to spam, phish, or send unsolicited communications to any third party.
  5. Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
  6. Access or use the Services in any way that could damage, disable, overburden, or impair our servers or networks.
  7. Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
  8. Share your account credentials with any third party or use another user's account without their explicit permission.

We reserve the right to terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

4. Subscription Terms & Payment

Some parts of the Services are offered on a subscription basis. By subscribing to these Services, you agree to pay the subscription fees indicated for those services. Subscription fees are non-refundable except as explicitly stated in our refund policy.

Your subscription will automatically renew at the end of each billing cycle unless you cancel it at least 24 hours before the end of the current cycle. You can cancel your subscription at any time through your account settings.

We reserve the right to adjust subscription fees at any time, upon reasonable notice to you. Such fee adjustments will take effect at the start of the next billing cycle following the notice.

5. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. GPT-image2 MAKES NO WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS.

GPT-image2 does not warrant that the Services will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected. We do not warrant that the results obtained from using the Services will meet your requirements or be accurate or reliable.

6. Limitation of Liability

IN NO EVENT SHALL GPT-image2, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES DURING THE 12 MONTHS PRIOR TO THE DATE OF THE CLAIM.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of Hong Kong, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Services, and supersede and replace any prior agreements we might have had between us regarding the Services.

8. Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall first be resolved through good faith negotiations between the parties. If such negotiations do not resolve the dispute within 30 days, either party may submit the dispute to binding arbitration in Hong Kong in accordance with the applicable rules of arbitration. The arbitral award shall be final and binding on both parties.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services, or cancel your subscription through your account settings.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
